Terms & Conditions

By accessing or using the Service, you agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the Service.

1) Eligibility & Account

You must be legally capable of entering into these Terms and comply with all applicable laws. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2) Non-Custodial Wallet; You Control Your Funds

2.1 Non-Custodial Model.

The wallet offered through the Service is non-custodial. You hold and control your private keys (or recovery phrase). We do not have access to, possession of, or control over your private keys or your digital assets.

2.2 Irreversibility & Risk.

Transactions on applicable networks are typically irreversible. If you lose your private keys, recovery phrase, or device, you may permanently lose access to your assets. We cannot recover keys or reverse transactions, and we do not guarantee confirmations, network speed, or availability.

2.3 Backups & Security.

You are solely responsible for safeguarding your keys, recovery phrase, and devices. Use strong passwords, hardware security where possible, and keep secure backups offline.

3) Third-Party Services; Bill Pay by Yourbanice

3.1 Bill Pay Provider.

Certain services accessible inside the app, including but not limited to bill payments, top-ups, and related remittance functionality (collectively, "Bill Pay Services"), are provided by Yourbanice, S.A.P.I. de C.V. ("Yourbanice"). By using Bill Pay Services, you acknowledge that:

  • Yourbanice is the service provider and merchant of record for those services;
  • Yourbanice—not Saldo—is responsible for execution, customer support, compliance, and settlement related to Bill Pay Services;
  • Additional terms, disclosures, and/or KYC/AML checks from Yourbanice may apply.

3.2 No Endorsement or Warranty.

We may facilitate access to Yourbanice and other third parties, but we do not control or guarantee their services. Your interactions with third parties are solely between you and them.

3.3 Fees.

Fees may be charged by networks, Yourbanice, payment processors, or other providers. We will display or link to applicable fees where practicable, but some network fees are dynamic.

4) Compliance; KYC/AML; Taxes

You agree to provide accurate information and to comply with any KYC/AML requirements (where applicable). You are solely responsible for taxes related to your use of the Service and your digital asset activities.

5) Prohibited Uses

You may not use the Service to violate any law, infringe intellectual property, engage in fraud, money laundering, terrorist financing, sanctions evasion, or any harmful or abusive activity. We may suspend or terminate access for suspected violations.

6) Consent

You consent to receive electronic communications (including disclosures, receipts, notices) via the Service, email, and/or SMS, subject to the SMS Program Terms below. You can withdraw e-sign consent by closing your account and discontinuing use of the Service, but we may still send legally required notices.

7) SMS Program Terms

7.1 Program Name & Sender.

"Saldo Alerts" (the "SMS Program") is provided by Twilio. Messages are sent from different phone numbers.

7.2 Purpose & Message Types.

By opting in, you consent to receive account-related and transactional SMS (e.g., verification codes, security alerts, status updates) and, if you separately consent, promotional SMS (e.g., product updates, offers).

7.3 Opt-In Methods.

You can opt in by any of the following:

  • Entering your mobile number on a Saldo web/app form and checking the consent box stating you agree to receive SMS from Saldo;
  • Completing account registration and verifying your number where the form states you agree to receive SMS related to the Service.

7.4 Consent Disclosure.

"By entering your number and tapping 'Continue,' you agree to receive recurring SMS messages from Saldo about your account and services. Consent is not a condition of purchase. Message & data rates may apply. Message frequency varies.

7.5 Message Frequency.

Message frequency varies by account activity. For promotional SMS (if opted in), frequency may be up to once a month.

7.6 Opt-Out / Cancel.

You can delete your account. We will send a one-time confirmation SMS that you have been unsubscribed.

7.7 Carrier Disclaimer.

Carriers are not liable for delayed or undelivered messages. Message delivery may be impacted by your carrier coverage and device.

7.8 Costs.

Message and data rates may apply. Check your mobile plan for details.

7.9 Eligibility & Age.

You represent that you are the owner or authorized user of the mobile number provided and of legal age to consent.

7.10 Changes.

We may modify or terminate the SMS Program at any time, with notice as required by law.

8) Intellectual Property

The Service, including content, trademarks, and software, is owned by us or our licensors. You receive a limited, revocable, non-transferable license to use the Service for its intended purpose.

9) Disclaimer of Warranties

THE SERVICE (INCLUDING THE NON-CUSTODIAL WALLET) IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

10) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES (AND OUR/THEIR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; OR (B) ANY LOSS OF KEYS, CODES, CREDENTIALS, DATA, PROFITS, REVENUE, OR ASSETS; OR (C) NETWORK FAILURES OR THIRD-PARTY SERVICES (INCLUDING YOURBANICE). OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID DIRECTLY TO US FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE CLAIM.

11) Indemnification

You will defend, indemnify, and hold harmless us and our affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or violation of any law or third-party rights.

12) Suspension & Termination

We may suspend or terminate your access at any time for suspected violations of these Terms, legal or regulatory requirements, risk management, or security reasons.

13) Changes to the Service & to These Terms

We may change or discontinue the Service, and we may update these Terms. Material changes will be posted to www.saldo.mx/terms with an updated Effective Date. Continued use after changes constitutes acceptance.

14) Governing Law; Disputes

These Terms are governed by the laws of Mexico, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts of Mexico City, Mexico. You and we waive any right to a jury trial to the extent permitted by law.
